Terms of Service

Last Updated: October 15, 2026

This Terms of Service Agreement ("Agreement") is a legally binding contract between you ("User," "Customer," or "you") and DealNav LLC, a Connecticut Limited Liability Company ("DealNav," "we," "us," or "our"). This Agreement governs your access to and use of our website, applications, services, and any related offerings (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Services.

1. Modifications to This Agreement

DealNav reserves the right to modify this Agreement at any time. Any changes will become effective 30 days after posting on our website. If you do not agree with the updated terms, you must discontinue using the Services before the changes take effect. Continued use of the Services after the 30-day review period constitutes acceptance of the updated Terms.

2. License and Acceptable Use

2.1 License Grant

Subject to compliance with this Agreement, DealNav grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business operations.

2.2 Restrictions on Use

You agree not to:

2.3 Data Protection and Security

DealNav maintains reasonable administrative, physical, and technical safeguards to protect user data. We will only access user data for service operations, troubleshooting, product improvement as described in our Privacy Policy, compliance with applicable laws, or if expressly permitted by the user in writing.

3. Service Availability and Updates

DealNav may update, modify, or discontinue the Services, in whole or in part, at its sole discretion. DealNav makes no guarantees regarding uninterrupted access or uptime of the Services.

3.1 Service Level Commitment

DealNav will use commercially reasonable efforts to maintain at least 99.5% uptime for the Services, excluding scheduled maintenance windows. Expected maintenance windows will be communicated in advance and will not count against uptime commitments.

4. Pricing and Payment

4.1 Changes to Pricing

DealNav reserves the right to adjust pricing at any time. Any changes to pricing will be posted on our website at least 30 days in advance and will apply at the start of the next billing cycle. Users who do not agree with the new pricing must cancel their subscription before the new rates take effect. Continued use of the Services constitutes acceptance of the new pricing.

4.2 User Responsibility for Payment

Users are responsible for ensuring that all payments are made on time and that the payment method on file is valid.

4.3 Automatic Renewal

Subscriptions automatically renew unless canceled before the next billing cycle. Users are responsible for canceling their subscriptions before renewal to avoid additional charges.

4.4 Plan Changes

Upgrades take effect immediately and are charged at once, prorated for the remainder of the current billing period. Downgrades take effect at the end of the current paid period, and no partial refunds are given. Only your organization's administrators can change plans or billing.

5. Relationship of the Parties

Nothing in this Agreement creates a partnership, joint venture, agency, fiduciary relationship, or employment relationship between you and DealNav. Each party remains an independent contractor.

6. Ownership of Data & Usage Transparency

6.1 Customer Data Ownership

Users retain full ownership of all data they provide to DealNav ("Customer Data"). DealNav does not claim any rights over Customer Data beyond what is necessary to provide the Services.

6.2 Usage Data

DealNav may collect and analyze aggregated, de-identified data about how users interact with the Services to improve performance and user experience. DealNav does not sell Customer Data and shares it only as described in Section 7.2 and our Privacy Policy.

6.3 Connected Services

You may connect optional services to your account, such as an email mailbox, an API key, or an AI assistant. Email sync reads your own connected mailbox with read-only access and can be disconnected at any time, which removes the synced messages from DealNav. API keys are created by your organization's administrators, and any member can connect an AI assistant to the datasets they can access. Once data leaves DealNav through these connections, what happens to it is your responsibility, as are the tools you connect and the people you give access to. These services remain subject to the license and restrictions in Section 2.

7. Confidentiality

7.1 Confidential Information

Each party agrees to treat all non-public business and technical information disclosed by the other party as confidential.

7.2 Protection of Confidential Information

DealNav will use commercially reasonable efforts to protect Customer Data and ensure that confidential information is not shared with third parties, except as required by law, with explicit customer consent, or with service providers that process it on our behalf under confidentiality obligations.

7.3 Duration of Confidentiality Obligations

Confidentiality obligations remain in effect for three (3) years after termination of services, except for trade secrets, which remain protected indefinitely.

8. Mutual Warranties

Each party warrants that it has the legal authority to enter into this Agreement and will comply with applicable laws and regulations.

9. Limitation of Liability

To the fullest extent permitted by law, DealNav's total liability shall not exceed the total amount of fees paid by you in the 12 months preceding the claim.

10. Feedback & Product Suggestions

Users who submit feedback or ideas agree that DealNav may use and implement these suggestions without restriction or compensation.

11. Dispute Resolution and Arbitration

Disputes will be resolved through binding arbitration under the rules of the American Arbitration Association ("AAA"). Class action lawsuits are waived.

12. Force Majeure

DealNav shall not be liable for any failure or delay due to causes beyond its reasonable control, including acts of God, cyberattacks, government actions, pandemics, or service interruptions caused by third parties.

13. Governing Law

This Agreement shall be governed by the laws of the State of Connecticut. Subject to Section 11, any court proceedings, including to enforce an arbitration award, shall be brought in the state or federal courts located in Connecticut.

14. Assignment

Either party may assign this Agreement to an affiliate or successor-in-interest without prior consent.

15. Miscellaneous

16. Parcel Data

DealNav can show property parcel boundaries and public-record parcel information ("Parcel Data") on the map and, when you choose, save some of it to your own records. Parcel Data is compiled from county assessor and other public records by a third-party data supplier and licensed to DealNav. Parcel Data covers the United States and its territories only. The following terms apply to it in addition to the rest of this Agreement.

(a) What you may do. Subject to this Agreement, you may view Parcel Data within DealNav, use it for your own internal business purposes within your organization, and save it to your own DealNav records one property at a time, as the product allows. This right is non-exclusive and non-transferable.

(b) What you may not do. You may not sell, rent, sublicense, publish, redistribute, or otherwise make Parcel Data available to anyone outside your organization. You may not collect Parcel Data by automated means (scripts, bots, scraping, or bulk requests), use it to build, add to, or substitute for any database or data service outside DealNav, or reverse engineer it. You may edit Parcel Data you have saved to your own records. Parcel Data may carry security measures such as watermarks, which you may not knowingly remove or alter.

(c) Ownership. Parcel Data and all intellectual property in it belong to DealNav's data supplier. You receive no ownership of it, all rights not expressly granted are reserved, and you agree to treat it as confidential information of the supplier and not disclose it except as this section allows.

(d) Usage limits and fair use. Access to Parcel Data is metered. Each plan includes a monthly allowance of parcel lookups and of parcel outlines shown on the map, counted per workspace and described on our pricing page and in the product. Outlines are counted in map squares, the small sections of map that load as you move around. Allowances reset on the first day of each month (UTC). Where a plan is described as offering unlimited lookups, fair use applies: up to 1,000 parcel lookups and 25,000 map squares per workspace per month. Separately, your whole account can load no more than 20,000 map squares in a single day across all its workspaces. When an allowance is used up, new lookups are refused and outlines pause until the next reset; records you have already looked up stay viewable. Free trials run at the Basic plan's allowances. On Enterprise plans, allowances apply per edit seat, and view-only seats include no lookups. DealNav may raise allowances at any time and will give 30 days' notice before lowering them. DealNav may suspend access that appears automated or abusive, and may offer additional capacity by arrangement.

(e) Your saved records. Parcel Data you deliberately save to a property record becomes part of that record and is handled like the rest of your data, including in your own exports and connected integrations. It remains subject to paragraphs (a) through (c). DealNav never provides a bulk export of Parcel Data.

(f) AI features. An AI assistant or other tool you connect may read Parcel Data only as saved in your own records under paragraph (e). You may not use Parcel Data to train or improve any machine-learning model, or provide it to a service that does so.

(g) Accuracy and warranty. Parcel Data comes from public records that vary in completeness and timeliness and may contain errors, omissions, and boundary inaccuracies. It is provided "as is and with all faults," without warranty of any kind from DealNav or its supplier, including accuracy, merchantability, fitness for a particular purpose, and non-infringement. It is not a survey, title report, or legal description and must not be relied on as one.

(h) Limitation of liability. To the fullest extent permitted by law, neither DealNav nor its supplier is liable for indirect, incidental, consequential, special, or exemplary damages, or for loss of data, business, or profits, arising from your use of or inability to use Parcel Data, and their total liability relating to Parcel Data is limited to the fees you paid DealNav in the 12 months preceding the claim.

(i) Termination. DealNav may suspend or end your access to Parcel Data immediately if you breach this section, and its supplier may discontinue or change Parcel Data at any time. If your access to Parcel Data ends for any reason, you must stop using it and, on request, delete any copies you have saved outside DealNav. Paragraphs (b), (c), (f), (g), (h), (j), and this paragraph continue to apply after your access ends.

(j) Supplier as beneficiary. DealNav's data supplier may enforce this section directly against you.
